Real Estate Acquisition, Leasing & Facilities Management Policy

1. Purpose

This policy sets out Murzo Group's approach to real estate acquisition, leasing, licensing, occupation, facilities management, property due diligence, title checks, local law, tax, planning, maintenance, safety, security, and disposal.

The purpose is to protect Murzo Group from legal, financial, tax, operational, safety, environmental, security, fraud, corruption, and reputational risk connected with property and land.

2. Scope

This policy applies to offices, farms, land, warehouses, storage units, studios, showrooms, accommodation, workshops, laboratories, yards, retail spaces, collection storage, cultural property storage, food premises, leased premises, serviced offices, licence arrangements, and property-holding structures.

It applies in the UK and internationally, including Spain, Morocco, Saudi Arabia, China, Vietnam, Turks and Caicos, Italy, Thailand, Gibraltar, and any other jurisdiction where Murzo Group owns, leases, occupies, manages, stores assets, conducts due diligence, or considers a property transaction.

3. Global Property Principles

Murzo Group will not assume that property rules, title systems, lease protections, foreign ownership rules, tax treatment, planning controls, labour obligations, environmental obligations, or enforcement practices are the same across jurisdictions.

Every international property transaction must be assessed under local law, local tax rules, local land registry practice, foreign ownership restrictions, exchange controls, anti-money laundering expectations, and local permitting requirements before commitment.

4. Approval & Authority

No person may acquire, lease, licence, sell, sublet, charge, mortgage, guarantee, occupy, fit out, store material in, or commit Murzo Group to a property arrangement without written approval from authorised representatives.

Material property decisions must consider business need, cost, legal status, local adviser input, tax impact, safety, security, insurance, environmental condition, operational suitability, exit rights, and reputational risk.

5. Property Due Diligence

Property due diligence must be proportionate to value, jurisdiction, use, risk, and commitment length.

  • Legal title, ownership, beneficial ownership, land registry evidence, boundaries, easements, charges, mortgages, restrictions, disputes, and occupation rights
  • Lease terms, break rights, rent review, service charges, deposits, guarantees, repairing obligations, reinstatement, insurance, assignment, subletting, and termination
  • Planning, zoning, building control, fire safety, accessibility, utilities, environmental restrictions, agricultural restrictions, heritage restrictions, and permits
  • Tax, stamp duties, transfer taxes, VAT or local equivalents, withholding, local entity requirements, foreign ownership rules, banking, currency, and reporting
  • Bribery, sanctions, source of funds, politically exposed persons, agents, conflicts, commissions, and unusual payment requests

6. Named Jurisdiction Controls

For Spain, Morocco, Saudi Arabia, China, Vietnam, Turks and Caicos, Italy, Thailand, Gibraltar, and any other non-UK jurisdiction, Murzo Group must obtain jurisdiction-specific advice before signing heads of terms, paying deposits, forming property vehicles, instructing agents, or taking possession.

Advice should cover local title process, foreign ownership limitations, corporate registration, beneficial ownership disclosure, tax, notarial or registry steps, lease enforceability, zoning, permits, employment or facilities obligations, local agent regulation, currency movement, and dispute resolution.

7. Agents, Brokers & Professional Advisers

Property agents, brokers, finders, consultants, introducers, surveyors, lawyers, notaries, tax advisers, facility managers, and local partners must be subject to due diligence and clear engagement terms.

Murzo Group must not pay hidden commissions, facilitation payments, cash incentives, unofficial fees, or success fees that are not documented, lawful, approved, and transparent.

8. Facilities Management & Premises Safety

Occupied or controlled premises must be managed to protect workers, visitors, neighbours, property, assets, products, cultural objects, food, data, and the environment.

Facilities controls may include fire safety, emergency exits, first aid, utilities, maintenance, cleaning, pest control, waste management, access control, CCTV, alarms, water hygiene, electrical safety, gas safety, asbestos or local equivalents, lifts, vehicles, contractors, and visitor management.

9. Security, Storage & Sensitive Use

Property used for high-value goods, cultural objects, human remains, controlled items, food, chemicals, documents, confidential data, fashion stock, or sensitive operations requires enhanced security and environmental controls.

Controls may include restricted access, key management, alarm response, CCTV, humidity control, temperature control, pest control, fire detection, insurance approval, inventory records, and movement logs.

10. Exit, Disposal & Disputes

Exit decisions must be planned and documented. Murzo Group must consider notice periods, break clauses, dilapidations, reinstatement, asset removal, data removal, waste disposal, utility closure, tax, deposits, local filings, and continuing liabilities.

Property disputes, threatened eviction, title challenge, landlord dispute, neighbour dispute, safety notice, authority inspection, environmental issue, or agent misconduct must be escalated promptly.

11. Records, Review & Responsibilities

Murzo Group will keep property records including approvals, title documents, leases, licences, searches, surveys, adviser reports, tax advice, insurance, permits, safety checks, maintenance records, invoices, inspections, incident records, and exit documents.

Directors, property leads, finance contacts, facilities managers, legal contacts, local advisers, security contacts, and authorised representatives are responsible for applying this policy. It will be reviewed periodically and when property holdings, jurisdictions, legal duties, tax rules, or operational risks change.
