1. Purpose
This policy establishes Murzo Group’s ownership, control, and protection of all intellectual property (“IP”) created, developed, commissioned, or used in the course of its business.
Its purpose is to eliminate ambiguity regarding IP ownership, protect Murzo Group’s designs, technologies, data, and creative works, govern IP created by employees, contractors, collaborators, and AI systems, and ensure enforceability across jurisdictions.
This policy applies regardless of medium, format, or method of creation.
2. Scope
This policy applies to all:
- Designs, concepts, inventions, works, and materials
- Software, code, algorithms, models, and datasets
- Visual, written, audio, and multimedia works
- Research outputs, prototypes, and technical documentation
- AI-assisted, AI-generated, or computationally derived outputs
It applies to employees, directors, contractors, consultants, partners, and any third party acting on Murzo Group’s behalf.
3. Ownership Principle
Unless expressly agreed otherwise in writing, Murzo Group is the sole and exclusive owner of all intellectual property created by employees, contractors, or third parties in connection with Murzo Group’s business.
No ownership rights are transferred to any individual or third party by default.
4. Employee-Created IP
All IP created by employees during employment and within the scope of their duties or using Murzo Group resources is deemed a work made in the course of employment and automatically belongs to Murzo Group to the fullest extent permitted by law.
Employees waive, where lawful, all moral rights in such works.
5. Contractor & Third-Party IP Assignment
All contractors, consultants, and third parties engaged by Murzo Group are deemed to assign all present and future IP rights to Murzo Group worldwide, in perpetuity, and without limitation.
Where assignment is not automatic by law, the creator irrevocably assigns all rights and agrees to execute further documents to perfect ownership.
6. AI-Assisted & AI-Generated Works
Murzo Group expressly asserts ownership over works created with the assistance of artificial intelligence, machine learning, generative, or algorithmic systems operated or directed by Murzo Group.
Use of AI does not diminish Murzo Group’s ownership claim.
7. Copyright & Related Rights
Murzo Group asserts copyright over all original works it owns, including designs, software, documentation, and audiovisual content, protected internationally under applicable law and treaties.
8. International Protection & Enforcement
Murzo Group asserts and enforces its IP rights globally under UK law, international treaties, and applicable national legislation.
Murzo Group reserves discretion over disclosure, sharing, and enforcement.
9. Open Knowledge, Licensing & Disclosure
Murzo Group may license or disclose selected works at its sole discretion. Any disclosure does not constitute a waiver of ownership unless expressly stated.
10. Client-Specific IP Arrangements
Client IP rights are governed exclusively by written contract. No implied licence is granted.
11. Moral Rights Waiver
To the fullest extent permitted by law, creators waive moral rights and consent to modification or removal of attribution.
12. Infringement & Enforcement
Murzo Group reserves the right to monitor unauthorised use and pursue all available remedies.
13. Withdrawal & Amendment
Murzo Group may amend this policy or change its IP strategy at any time. Changes apply prospectively unless stated otherwise.
14. Limitations
This policy does not grant rights to third parties, override statutory provisions, or replace written contracts.
15. Review & Updates
This policy is reviewed periodically and updated as necessary. Revised versions will be published on Murzo Group platforms.
